Board of Directors elections:
Information for candidates and for voters
Voting for the ILDA Board is done at the ILDA Business Meeting, which is
part of the annual ILDA Conference. Note that any ILDA Member may attend
the Business Meeting for free -- they do not have to be registered for
the Conference.
Note:
Descriptions of the Board election and other procedures are subject to
change. In case of any disagreement between the description below on
this webpage, and the most-current version of the ILDA Bylaws, the
Bylaws take precedence.
CANDIDATES
Qualifications and duties of Board directors
Qualifications: Any ILDA Member
meeting all Bylaws requirements may run
for the Board of Directors. The qualifications are:
A. The candidate must be an ILDA
Individual Member, or an owner or full-time employee of an ILDA
Corporate or Nonprofit Member company, at the time of the election,
AND
B. The candidate, or his/her Member
company, must be a Member of ILDA during the past two Membership
years. This means the current Membership year (year in which voting
takes place) and the previous (most recent in the past) Membership
year, AND
C. The candidate, or their Member
company, must be in good standing within ILDA. This means 1) all dues
and any other outstanding transactions with ILDA are paid and up to
date, and 2) the candidate's Membership has no issues with the Ethics
Committee.

How to
run for the Board
You may nominate yourself
to run for the Board, or you may nominate another Member.
The nomination must be done at least one week before the Business
Meeting. The nominated person does not have
to be present at the Business Meeting.
To nominate yourself or
another person, simply send an email to ILDA's main email address, with
the your name, the name of the nominee, and a brief statement (500 word
maximum) describing why the person being nominated would be a good Board member.
If you are nominating another person, we ask that you contact them first
to be sure that they want to run and serve on the Board.
For 2012, the nomination
deadline is 10:00 AM Central Time (Texas time) on Monday, October 29.
This is exactly one week before the start of the Business Meeting to be
held at the ILDA Annual Conference.
Candidate list and statements: ILDA will put up a web page
with the names and photographs of candidates, and their statements (500
words maximum). If the candidate wishes to provide additional material,
there can also be a single link to a candidate's external web page or
site where more information is available. There is no limitation on the
length or content of any material -- written, video, etc. -- which is
accessible via the linked page.
Optional photograph: If you wish, you can have a single
photograph with your name and statement, on the ILDA candidate web page.
Submit this to ILDA, if possible at the same time as your nomination and
statement, although we can add the photo later.
Optional video statement for Business Meeting: Although
candidates are encouraged to attend the Business Meeting held during the
Annual Conference, if they cannot attend, they can submit a video file
(MP4 or MOV format) to be played at the meeting. This video is to be the
equivalent of the candidate standing up before the meeting in-person to
talk to the voters. The candidate must speak for themselves, to the
camera, and there can be no other shots or edits. The maximum time for
the video is 3 minutes. The video file must be provided to the Executive
Director at least 48 hours before the Business Meeting. ILDA is not
responsible if the video file is unable to be played due to technical
issues.
VOTING FOR CANDIDATES
Voting procedures
There are two parts to the annual ILDA
Business Meeting.
- Board Vote: During the first
session, there is a vote for the open Board positions. (The open
positions includes Board seats whose two-year term has expired, plus
any seats where a Board Member has resigned in the middle of their
term.) All nominated candidates are voted on; the top vote-getters
become the new Board Members.
- President Vote: Later in the
day, or the next day, there is a second Business Meeting session.
During this, all five Board members (old, plus newly-voted) are asked
if they would like to run for President of the Board of Directors. If
more than one Board member wants to run for President, there is a
second vote to see who wins this position.

How Members can vote
Voting is open to all ILDA Corporate,
Non-profit and Individual members. Here's how to vote:
- If you will attend the Business
Meeting – great! You will get to hear from the candidates and to cast
your vote in person.
- If you will NOT be attending the
Business Meeting, you may cast a “proxy” ballot. This means you give
someone attending the ILDA Conference the right to cast your vote at
the Business Meeting.
For 2012, you can use an
online proxy voting form
(preferred) or follow the instructions below.
For persons giving
proxy votes (non-attendees)
- Look over the list of Conference
attendees. For 2012, the attendee list is on
this page. Find a person that you
trust, and who is a current ILDA Member (most attendees are Members,
of course!)
- Write or email to this person, stating that you
would like them to cast your votes for you. If you want, you can
specify conditions to your ballot, such as “Please cast my vote for Bob
Smith” or “Please vote for anyone but Jane Doe”.
- Tell the person how many votes you
have. As per the ILDA Bylaws,
votes are based on your Membership category:
a. Corporate Level 1 (dues paid: $1000): 4 votes
b. Corporate Level 2 (dues paid: $500): 3 votes
c. Corporate Level 3 (dues paid: $250): 2 votes
d. Non-profit and Individual (dues paid: $125):
1 vote
e. Student: 0 votes
- The person must vote as you specify. If
you did not give specific instructions, then the person can cast your
votes however he or she thinks is best.
For persons
holding proxy votes (Business Meeting attendees)
You may solicit proxies by asking
non-attendee Members to give you their votes. There is nothing wrong
with this, as long as you are not bothering or spamming other
Members.
You must bring to the Business
Meeting a written or printed authorization (such as a handwritten
note or an email message printed on paper) for each non-attending
Member who gives you their proxy. ILDA will keep the proxy
authorization on file, to show that you had the right to cast votes
for that Member.
